Terms of Use

These Terms of Use ("Terms") govern your access to and use of the websites, web-based presentation software, and related services (collectively, the "Services") provided by WealthLogix, Inc. ("WealthLogix," "we," "us," or "our"). Please read them carefully. By accessing or using the Services, creating an account, or replying to our messages, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for licensed insurance producers, financial professionals, and related businesses. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us immediately at hello@wealthlogix.com of any unauthorized use.

2. Subscriptions & Billing

• Free trial. We may offer a free trial. Unless you cancel before the trial ends, your subscription will convert to a paid plan at the applicable rate.
• Fees. Subscription fees are billed in advance on a monthly or annual basis according to the plan you select. Except as required by law or expressly stated, fees are non-refundable.
• Renewal. Subscriptions automatically renew for successive periods unless cancelled before the end of the current period. You may cancel at any time; cancellation takes effect at the end of your current billing period.
• Price changes. We may change our fees on a prospective basis. If you maintain an active subscription, we honor your price lock as described in your plan.
• Taxes. Fees are exclusive of applicable taxes, which are your responsibility.

3. License & Acceptable Use

Subject to these Terms and your payment of applicable fees, WealthLogix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You agree not to:

• Copy, resell, sublicense, rent, or share your account or the Services with anyone outside the seats you have purchased;
• Reverse engineer, decompile, or attempt to derive the source code of the Services;
• Use the Services to violate any law, regulation, or third-party right, including insurance advertising and suitability rules;
• Upload malicious code or interfere with the security or operation of the Services;
• Scrape, data-mine, or access the Services by automated means except as we permit; or
• Misrepresent outputs of the Services or use them in a false, deceptive, or misleading manner.

4. Your Content & Client Data

You retain ownership of the data, illustrations, scenarios, and other content you upload or create in the Services ("Customer Content"). You grant us a license to host, process, and use Customer Content solely to provide and improve the Services. You represent that you have all rights and consents necessary to submit Customer Content, including any information about your clients or prospects, and that your use of the Services complies with applicable privacy and insurance laws. You are solely responsible for the presentations and communications you create using the Services and for how you present them to clients.

5. SMS / Text Messaging Program Terms

These SMS terms apply if you opt in to receive text messages from WealthLogix. They supplement, and should be read together with, our Privacy Policy.

• Program description. By opting in, you consent to receive text messages from WealthLogix, which may include account/transactional messages (such as demo and webinar confirmations, reminders, account and billing notices, and support responses) and, where you have opted in, marketing messages about products, features, webinars, and offers.
• Consent. You opt in by providing your mobile number and agreeing to receive texts -- for example, through a web form, an SMS consent checkbox, or webinar registration. Consent to receive marketing texts is not a condition of purchase.
• Message frequency. Message frequency varies based on your interactions with us.
• Cost. Message and data rates may apply. Check with your mobile carrier for details. WealthLogix does not charge for the messages, but your carrier's standard rates apply.
• Opt-out. Reply STOP to any message to unsubscribe at any time. You will receive a one-time confirmation, after which we will stop sending texts unless you opt back in.
• Help. Reply HELP for assistance, or contact hello@wealthlogix.com or 385.374.9100.
• Carriers. Wireless carriers are not liable for delayed or undelivered messages. Supported carriers may change without notice.
• Privacy. No mobile information (including phone numbers and SMS consent) is sold, rented, or shared with third parties or affiliates for their marketing purposes. See our Privacy Policy for details.

6. Intellectual Property

The Services, including all software, content, design, text, graphics, logos, and the WealthLogix® name and marks, are owned by WealthLogix or its licensors and are protected by intellectual property laws. Except for the limited license in Section 3, these Terms do not grant you any right, title, or interest in the Services or our intellectual property. Any feedback you provide may be used by us without obligation to you.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT OR CALCULATION WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICES AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEALTHLOGIX AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless WealthLogix and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your Customer Content, your presentations to clients, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or use the Services in a way that risks harm to us or others. Upon termination, your license ends. Sections that by their nature should survive termination (including Sections 6--10 and 12) will survive.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Washington County, Utah will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to their jurisdiction and venue, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
